The Head of Legal and Company Secretary at Access Bank PLC will oversee all aspects of legal compliance, governance, and corporate secretarial functions. This critical leadership role requires a proactive individual to ensure adherence to regulatory frameworks and support the bank's strategic objectives through comprehensive legal advice and risk management. Key Responsibilities: Provide expert legal guidance to the bank’s executive management and board on corporate governance, compliance, and regulatory matters. Lead the legal department in managing legal risks associated with the bank's operations, including contract negotiations, dispute resolution, and litigation management. Ensure compliance with all relevant laws and regulations governing the banking industry and the organization’s internal policies and procedures. Oversee the preparation of board and committee meeting materials, minutes, and corporate governance documentation. Manage the bank's corporate secretarial function, including compliance with statutory obligations and maintenance of corporate records. Act as a key liaison with regulatory authorities and external legal counsel. Review and draft various legal documents, contracts, and policies to mitigate legal risks. Conduct legal research and stay updated on changes in laws and regulations that may impact the bank’s operations. • Bachelor’s degree in Law (LLB), and a Master’s degree or relevant professional qualification is an advantage. • Minimum of 10 years of experience in legal practice, with at least 5 years in a leadership role within the banking or financial services sector. • Strong understanding of banking and corporate governance laws, regulations, and best practices. • Proven experience in managing legal risks and providing sound legal advice to executive management and boards. • Excellent analytical and problem-solving skills, with the ability to navigate complex legal issues. • Strong communication and interpersonal skills, with an ability to influence and engage stakeholders effectively. • High level of integrity, professionalism, and confidentiality. • Ability to lead and mentor a team of legal professionals.
